Terms of Service

These Terms of Service ("Terms") govern your access to and use of Clickyard's website analytics and optimization platform ("Service") provided by Clickyard ("we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Clickyard provides a web analytics and conversion optimization platform that allows you to:

  • Track user behavior on your websites
  • Mark and monitor UI zones and elements
  • Analyze conversion patterns and user journeys
  • Generate AI-powered insights and recommendations
  • Create and share reports

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration

To use the Service, you must:

  • Create an account with accurate and complete information
  • Be at least 16 years of age (or have parental consent if under 18)
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

4. Acceptable Use

  • All payments are non-refundable except as required by law
  • We may change pricing with 30 days' notice

9. Service Level and Support

10. Disclaimer of Warranties

  • ACCURACY OR COMPLETENESS OF DATA
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that the Service will meet your specific requirements or that any insights or recommendations will achieve particular results.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLICKYARD SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute services
  • Any damages arising from unauthorized access to or alteration of your data

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Clickyard and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

13. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard.

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Fail to pay applicable fees
  • Create risk or legal exposure for us

Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable period unless retention is required by law.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Russian Federation, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through:

  • Entire Agreement: These Terms, together with our Privacy Policy and DPA, constitute the entire agreement between you and Clickyard.

  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights freely.
  • Force Majeure: We are not liable for failures caused by events beyond our reasonable control.
